2009 Voting Results

We held our 2009 Annual Stockholders Meeting on May 7, 2009 at our corporate headquarters at 1600 Amphitheatre Parkway, Mountain View, California 94043. The following proposals were submitted to the stockholders:

  • The election of ten directors to serve for the ensuing year or until their successors are duly elected and qualified.
  • The ratification of Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2009.
  • The approval of an amendment to our 2004 Stock Plan to increase the number of authorized shares of Class A common stock issuable under the 2004 Stock Plan from 28,931,660 to 37,431,660 shares.
  • To consider a stockholder proposal to request that management institute policies to help protect freedom of access to the internet.
  • To consider a stockholder proposal to adopt principles for health care reform.

Holders of our Class A common stock are entitled to one vote per share and holders of our Class B common stock are entitled to ten votes per share and vote together as a single class on all matters (including the election of directors) submitted to a vote of stockholders, unless otherwise required by law. The ten nominees who received the highest number of votes (all of the above individuals) were elected to the Board of Directors, and will serve as directors until our next annual meeting or until their respective successors are elected and qualified.

Ratification of Ernst & Young LLP as Google's independent registered public accounting firm

The results of the voting included 859,877,038 votes for, 451,155 votes against, 233,503 votes abstained, and 0 votes were non-votes. The appointment was ratified.

Approval of Amendment to Google's 2004 Stock Plan

The results of the voting included 682,316,062 votes for, 141,473,404 votes against, 502,035 votes abstained, and 36,270,195 votes were non-votes. The amendment was approved.

Stockholder Proposal Relating to the Request that Management Institute Policies to Help Protect Freedom of Access to the Internet

The results of the voting included 9,357,871 votes for, 493,724,296 votes against, 321,209,449 votes abstained, and 36,270,080 votes were non-votes. The stockholder proposal was not approved.

Stockholder Proposal Relating to Adopting Principles for Health Care Reform

The results of the voting included 6,716,611 votes for, 780,495,806 votes against, 37,079,199 votes abstained, and 36,270,080 votes were non-votes. The stockholder proposal was not approved.
